These Terms & Conditions (“Terms”) govern your access to and use of www.btrac.com (the “Site”) and any services made available through the Site. Badger Truck & Refrigeration, Inc. (“BTRAC,” “we,” “us,” “our”) provides the Site AS-IS. By accessing or using the Site, you agree to these Terms and to our Privacy Policy (incorporated by reference). If you do not agree, do not use the Site.

1) Acceptance of Terms & Changes

Each time you access the Site, you agree to the then-current Terms. We may update, suspend, or discontinue the Site (or any part of it) at any time without notice. We may also remove or modify content you provide, with or without notice.

2) Accounts, Registration & Security

To use certain features, you may need to create an account. You agree to provide accurate information and keep it updated. You are responsible for all activity under your username and password and must promptly notify us of any unauthorized use.

3) Your Conduct & Prohibited Uses

You are solely responsible for content you submit or actions you take on the Site. You will not:

  • Violate any law or third-party rights (including IP rights).

  • Impersonate others or misrepresent your affiliation.

  • Transmit malware, spam, chain letters, or harmful code.

  • Interfere with Site operations, security, or access controls.

  • Collect data about other users without permission.

  • Publish unlawful, defamatory, obscene, harassing, or otherwise objectionable content.

We may remove or block content or users at our discretion.

4) User Content & License to BTRAC

By submitting content, you grant BTRAC a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, modify, adapt, publish, translate, display, distribute, and create derivative works from that content in any media now known or later developed, to operate and promote the Site and our services. You represent you have all rights needed to grant this license.

5) Product Information, Pricing & Availability

We strive for accuracy, but product information, pricing, availability, images, specifications, and fitment data may change without notice and may contain errors or omissions. We reserve the right to correct errors and to cancel orders arising from inaccuracies.

6) Orders, Payment, Taxes & Verification

When you place an order, you agree to pay the total order amount (including applicable taxes, shipping, and fees). We may verify information, limit or refuse orders, and cancel or adjust quantities in our discretion (e.g., suspected fraud, pricing/availability errors, or violation of these Terms).

7) Shipping, Delivery & Risk of Loss

Shipping dates are estimates. Risk of loss passes to you when we deliver the products to the carrier. Inspect packages upon delivery and promptly notify the carrier and BTRAC of any damage, shortage, or mis-shipment.

8) Returns, Refunds & Warranty

Returns and warranty claims are governed by our Returns & Refunds Policy (including RMA requirements, restocking, and timelines) and, where applicable, manufacturer warranty terms. Nothing here limits statutory rights that cannot be waived.

9) Third-Party Services & Links

The Site may reference or link to third-party sites, products, or services. Those are governed by their own terms and policies. BTRAC is not responsible for third-party content or your dealings with third parties.

10) Privacy

Your account and other personal information are handled per our Privacy Policy. Please review it to understand how we collect, use, and protect information.

11) Disclaimer of Warranties

YOUR USE OF THE SITE AND ANY SERVICES OR CONTENT IS AT YOUR SOLE RISK. THE SITE, SERVICES, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, BTRAC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

(Some jurisdictions do not allow disclaimers of implied warranties; in such cases, the foregoing applies to the maximum extent permitted.)

12) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BTRAC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO BTRAC FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM OR $100, WHICHEVER IS GREATER.

13) Indemnification

You agree to defend, indemnify, and hold harmless BTRAC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

14) Intellectual Property; Reservation of Rights

All content on the Site (including text, graphics, logos, and software) is owned by BTRAC or its licensors and is protected by intellectual-property laws. No license is granted except as expressly provided in these Terms. Any use of our marks or content requires our prior written consent.

15) DMCA / Copyright Complaints

If you believe content on the Site infringes your copyright, send a notice to our agent containing the information required by 17 U.S.C. §512(c)(3):

We may remove content and terminate repeat infringers as appropriate.

16) Termination

We may suspend or terminate your access to the Site at any time, with or without cause or notice, and without liability. Sections that by their nature should survive (e.g., IP rights, disclaimers, limitations, indemnification, governing law) will survive termination.

17) Governing Law & Venue

These Terms are governed by the laws of the State of Wisconsin, without regard to conflicts of law. You agree to the exclusive jurisdiction and venue of the state or federal courts located in Wisconsin for any dispute arising from or relating to the Site or these Terms.

18) Time to Bring Claims

Any claim or cause of action must be filed within one (1) year after it arises, or it is forever barred, to the fullest extent permitted by law.

19) Severability; No Waiver; Assignment

If any provision is found invalid or unenforceable, it will be interpreted to reflect the parties’ intent, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. We may assign our rights and obligations under these Terms; you may not assign without our consent.

20) Entire Agreement; Changes

These Terms (plus any other policies expressly incorporated by reference) are the entire agreement between you and BTRAC regarding the Site. We may update these Terms from time to time; the “Last updated” date reflects the current version.
